General Description:
Responsible
for providing legal counsel and oversight all organizations, including a
connected federal political action committee and a non-federal 527
account. Provides counsel to the Board
of Directors on governance matters.
Provides legal oversight on a variety of issues involving the
organization’s structure, government and regulatory compliance, personnel, and
contractual arrangements. Responsible
for providing risk assessment related to organizational programs and
operations. As a member of the Senior
Management Team, participates in the development of organizational plans and
budgets.
Specific (Essential) Responsibilities:
- Monitors, moves forward and provides guidance on all legal matters to executive management and the Board of Directors;
- Tracks laws and regulations that affect the organization's policies and leads effort to implement necessary changes;
- Has ultimate responsibility for ensuring that business is conducted in compliance with applicable laws, including IRS and FEC laws and regulations;
- Works with Finance staff to review all IRS and FEC reports for legal compliance, and to create/implement department-wide internal reporting procedures;
- Coordinates legal matters handled by outside counsel;
- Works with Finance staff during accounting audit process and during creation of the organizations’ 990s and other tax documents;
- Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal implications of activities;
- Monitors activities that relate to state leagues and provides guidance on joint activities, including development and tax issues;
- Reviews all public communications, including grants and grant reports, to ensure compliance with laws and regulations;
- Prepares and examines contracts involving leases, contractors, consultants, licenses, purchases, sales, insurance, etc.; prepares resolutions and forms;
- Advises all divisions including political, communications, policy, development and financial departments on compliance matters;
- Other duties as assigned.
Supervision:
- Legal and Operations Associate
Requirements:
· Education: JD degree from an accredited law school; DC bar membership required.
- Work experience: 5+ years of experience in law, including non-profit experience and knowledge of tax and campaign finance laws. Previous work with FEC regulations required. Experience working on matters of corporate governance and with a board of directors required.
· Skills: Excellent verbal and written communication skills. Demonstrated ability to build relationships with all staff levels. Proficient computer skills and research abilities using the Internet. Specific technical skills are required in Microsoft Excel and Microsoft Word. Ability to work under pressure under multiple deadlines.
· Capabilities: Demonstrates expertise in a variety of legal field's concepts, practices, and procedures. Demonstrated relationship building skills; solid judgment; critical thinking skills; a sense of teamwork and community; ability to handle multiple tasks; highly organized.
· Conditions: Able to work hours in excessive of stated office hours to get the job done; ability to travel occasionally.
